UGREEN Account User Agreement

Welcome to register and use your UGREEN Account!

This UGREEN Account User Agreement (hereinafter referred to as "this Agreement") is entered into between you and AMERICA UGREEN LIMITED (hereinafter referred to as "UGREEN" or "we/us") regarding the registration and use of the UGREEN Account.

Please read and fully understand all terms of this Agreement before registering or using a UGREEN Account, with particular attention to the clauses that exclude or limit our liability, restrict your rights, and govern dispute resolution and applicable law. Such clauses are highlighted in bold for your attention. By registering or using a UGREEN Account, you are deemed to have read, understood, and agreed to be bound by all provisions of this Agreement. If you do not agree to any term herein, please discontinue the registration or use of the UGREEN Account.

When you accept this Agreement as prompted on the relevant page, or when you use our services, you are deemed to have read, understood, and agreed to be bound by this Agreement and all of its terms. If you do not agree to this Agreement, please do not use our services.

1. Definitions

1.1 UGREEN Account refers to the unified identity credential provided by the UGREEN Account Center that enables you to log in to and access all UGREEN products and services (hereinafter referred to as "this Account"). The UGREEN Account is identified by a globally unique Account ID and serves as your universal credential for accessing UGREEN products and services.

1.2 Basic Account Functions refer to all product applications and associated services that are currently or will in the future be integrated into the UGREEN Account system, including but not limited to: NAS product services (UGREEN Private NAS / UGREEN NAS), UGREEN Connect App, UGREEN Audio App, IPC product companion apps, and other UGREEN products and services that are currently or will in the future be integrated into this system.

1.3 UGREEN grants you a limited, non-exclusive, non-transferable, non-sublicensable, but revocable license to access and use this Account in accordance with this Agreement.

2. Account Registration

2.1 You confirm that, prior to registering and independently using a UGREEN Account, you must have the civil capacity required by the laws of your jurisdiction. If you are a minor aged 14 or above but under 18, please register and use this Account under the supervision and with the consent of your parent or other legal guardian. Children under the age of 14 are not permitted to register a UGREEN Account.

2.2 Users in Mainland China may register a UGREEN Account using a mobile phone number (country code +86). Users outside Mainland China may register using an email address. Upon successful registration, the system will assign you a unique User ID as your account identifier.

2.3 You warrant that all information provided during registration is true, accurate, lawful, valid, and pertains to yourself. You shall solely bear all liabilities and losses arising from your provision of registration information that is untrue, inaccurate, or not updated in a timely manner.

Account names, profile pictures, and other registration information you submit must not contain unlawful or inappropriate content. We reserve the right to review registration information. We will reject registrations containing non-compliant content. If non-compliant content is discovered after registration, we reserve the right, without prior notice, to take unilateral measures including requiring correction within a specified period, suspending access, or terminating the account.

2.4 If your registration information changes, you must update it promptly through the UGREEN Account page in the relevant UGREEN app to ensure the accuracy and validity of your information.

3. Account Usage Rules

3.1 Ownership of the UGREEN Account belongs to UGREEN. As the initial applicant, you are granted only the right to use the account.

3.2 You shall be responsible for all operations conducted under your UGREEN Account and the results thereof, including but not limited to modifications to account information, device binding, product configuration, and data storage.

3.3 Without our prior written consent, you may not transfer, lend, rent, assign, or otherwise permit any third party to use your UGREEN Account in any form.

3.4 While using your UGREEN Account, you must comply with all applicable laws and regulations relating to cybersecurity, data security, and personal information protection. You are prohibited from engaging in any of the following activities:

(1) Maliciously registering accounts by any technical means, or batch-registering or stockpiling accounts;

(2) Using, disseminating, or storing information that violates national laws and regulations, including but not limited to content that endangers national security, spreads rumors, disseminates obscene or pornographic material, or infringes upon the rights of others;

(3) Accessing, interfering with, or disrupting UGREEN servers, networks, and systems without authorization;

(4) Using this Account to conduct network attacks, maliciously scraping data, spreading viruses, or engaging in other activities that endanger cybersecurity;

(5) Using this Account to engage in any illegal or criminal activities or to damage the lawful rights and interests of others;

(6) Any other conduct that violates this Agreement or applicable laws and regulations.

3.5 If you violate this Agreement or applicable laws and regulations, we reserve the right, depending on the severity of the circumstances, to issue warnings, restrict functionality, suspend access, or permanently terminate your account. Any losses incurred as a result shall be borne by you. We reserve the right to pursue legal remedies against you in accordance with applicable law.

4. Account Security

4.1 Your UGREEN Account password is set and managed by you. We will never proactively request your account password. Please do not share your password with any person. We recommend that you change your password regularly and take anti-virus measures and other precautions to protect your account security.

4.2 Any account information leaks and related losses resulting from your voluntary disclosure of your password, authorization of others to use your account, or your falling victim to fraud, device loss, or other such circumstances shall be borne by you. We shall not be liable for losses arising from the foregoing circumstances. You may seek recourse against the infringing party through judicial or administrative channels.

4.3 If you discover that your account has been compromised, subject to unauthorized access, or experiencing other security anomalies, please immediately change your password and notify us through the contact information provided in Section 9 of this Agreement. Upon verifying your identity, we will assist you in implementing appropriate account protection measures.

4.4 If you lose access to your account due to personal reasons, you may submit an application through the UGREEN Account recovery process and provide the necessary verification information. If the information you provide does not meet the requirements or fails to pass security verification, we reserve the right to decline to provide account recovery services.

5. Unified Account Application

5.1 After registering a UGREEN Account, you may use the same account to log in to all UGREEN products and services that have been integrated into the unified account system, without the need to register separate accounts. The specific features and services of each UGREEN product are governed by that product's individual user agreement. Please read the applicable agreement separately when using each product’s services.

5.2 If you have previously registered separate accounts for individual UGREEN products (such as a UGREEN NAS account or UGREEN Connect account), during the UGREEN Account unified upgrade transition period, we will guide you through the account migration or consolidation process in accordance with the applicable rules. The specific migration plan and rights protection details will be communicated to you separately via in-app notifications, SMS, or official announcements.

6. Account Cancellation

6.1 You may apply to cancel your UGREEN Account through either of the following methods:

6.2 Before submitting a cancellation request, please ensure that your account meets the following conditions; otherwise, your request may not be accepted:

6.3 Once account cancellation is completed, all data and entitlements under that account will be irretrievable, including but not limited to account information, bound device records, cloud storage data, and service configurations. The cancellation operation is irreversible. Please ensure that you have backed up your data before submitting a cancellation request and proceed with caution. Following account cancellation, we will delete or anonymize your personal information within 15 business days in accordance with the UGREEN Account Privacy Policy, except where otherwise required by law or regulation.

6.4 If you commit a serious violation of this Agreement or applicable laws and regulations, we reserve the right to proactively cancel your UGREEN Account after notifying you. Any losses resulting therefrom shall be borne by you.

7. Service Modification, Interruption, and Termination

7.1 UGREEN will continuously improve and enhance the UGREEN Account services. We may modify or adjust service content due to business development, technology upgrades, or changes in laws and regulations, and will notify you in advance via in-app notifications, SMS, or official announcements.

7.2 In the event of temporary service interruption or termination due to system maintenance and upgrades, force majeure events (such as natural disasters, network failures, or government regulatory measures), or third-party causes, we will provide advance notice within a reasonable scope but shall not be held liable therefor.

7.3 We reserve the right to terminate UGREEN Account services after notifying you within a reasonable advance period. Following service termination, we will handle your personal information and account data in accordance with applicable law.

8. Privacy Protection

Protecting the security of your personal information is our fundamental responsibility. We will collect, use, store, and protect your personal information in accordance with the UGREEN Account Privacy Policy. This Agreement and the UGREEN Account Privacy Policy together constitute the complete terms governing your use of the UGREEN Account and carry equal legal effect. Please also read and comply with the UGREEN Account Privacy Policy.

10. Updates to This Agreement

We may revise this Agreement from time to time based on business developments or changes in laws and regulations. In the event of material changes to this Agreement, we will notify you in advance prior to the effective date of the changes via in-app pop-up notifications, push messages, or official announcements. If you continue to use the UGREEN Account after the updated Agreement takes effect, you will be deemed to have accepted the updated Agreement. If you do not accept the updated content, please discontinue use and submit a cancellation request.

11. Disclaimer

11.1 You are responsible for all activities conducted through the UGREEN Account and the results thereof, including but not limited to the completion and maintenance of account information, device binding and management, and cloud data storage. You shall bear the risks associated with using this Account service.

11.2 The account services we provide are intended solely for your normal use and do not constitute any representation or warranty. If third parties bring claims against us due to your unauthorized use of the account, provision of false information, or improper operation, you shall independently handle and bear the corresponding liability for compensation.

11.3 We shall not be liable for service interruptions or losses you may suffer due to force majeure events, network failures, hacker attacks, system maintenance, or other causes beyond our reasonable control. However, we will make reasonable efforts to minimize the impact.

11.4 When you access third-party services through your UGREEN Account, the availability, security, and content of such third-party services are the sole responsibility of the respective third parties. We make no representations or warranties in this regard.

12. Dispute Resolution

12.1 The formation, validity, performance, and interpretation of this Agreement shall be governed by the laws and regulations of Mainland China.

12.2 Any dispute arising out of or in connection with this Agreement shall first be resolved through amicable negotiation between the parties. If negotiation fails, either party may submit the dispute to the Shenzhen Court of International Arbitration for arbitration.
